Introduction and relationship

This Creator Agreement (“Agreement”) governs the relationship between হবে নাকি Coffee? and any user who registers as a creator on the platform. This Agreement is in addition to our general Terms and Conditions— in the event of a conflict, this Agreement takes precedence on creator-specific matters.

You are an independent creator— not an employee, agent, partner, or representative of the platform. You retain full independence and responsibility over your offers, pricing, and relationship with supporters.

You never act for us, and we act for you in one thing only: collecting Supporters’ payments, as Collecting payments for you sets out.

Collecting payments for you

1. What you authorise. You authorise us to receive Supporters’ payments for you and pass them on to you. We are your Collection agent for that and nothing else: we don’t act for you in selling, delivering, pricing or deciding Refunds.
2. You are the seller. You are the seller of every service you offer on the platform, in both Rate families (see Platform fee). We host and deliver Hosted services for you, on your instruction.
3. Payment to us is payment to you. Once a Supporter’s payment reaches us, the Supporter has paid you.
4. The money is yours. The money we collect for you is yours, subject to Refunds, chargebacks, Fees owed and payout holds.
5. What we take. We take only three things from that money: the Platform fee, the Delivery processing charge on delivery paid online, and the price of any Add-on you choose to buy. The gift wrap fee a Supporter pays when they choose gift wrap on a shop order is yours in full.
6. What we never do. We never take title to the goods in your shop, we never set your prices, and we never hold cash-on-delivery cash. Your courier holds it.
7. Paying from your Wallet. When you pay another Creator from your Wallet, you pay with your own money, and we collect it for that Creator in the same way.
8. Refunds and chargebacks. You stay responsible for a Refund or chargeback on a payment you received, even after a Payout. We may recover it from later credits to your Wallet.

Eligibility and onboarding

• You must be at least 14 to publish offers as a creator (18+ for payouts).
• KYC verification with a valid National ID (NID) is required before your first payout.
• You must accept the current version of this Agreement when publishing your first offer/service. The platform records the timestamp and version of your acceptance.
• For material changes to this Agreement, we may require you to re-accept the updated version — publishing new offers or payouts may be restricted until you do.

Platform fee

1. We charge a Platform fee: a percentage of each payment a Supporter makes to you. It is a fee for our service, not a share of your sale. It includes payment processing and any VAT on the fee. The Platform fee is never charged on a delivery charge, a gift wrap fee or a Fee cover. When a Supporter adds a Fee cover, the Platform fee on that payment is the Fee cover, so you receive the full price. On online payments, we also deduct a Delivery processing charge from any delivery charge, at the rate on our pricing page (currently 2.5%). It passes on the payment-processing cost of that part of the payment, and it isn’t a Platform fee. Cash-on-delivery orders don’t have it. From the money we collect for you, we take only the Platform fee, this Delivery processing charge, and the price of any Add-on you choose to buy (see Collecting payments for you). The gift wrap fee is yours in full.
2. Which rate applies. Your rate is the one in effect when the order is placed, under the Rate card on our pricing page or, where one applies, your Partner agreement. That rate stays fixed for the order, including cash-on-delivery orders.
3. Rate card. The Rate card sets a rate for each Rate family and Volume tier. The Rate families are Hosted (services you sell, which we host and deliver for you) and Shipped (physical products you deliver). Your Volume tier for a month is fixed on the 1st by your Volume in the previous month, and it does not change during the month. Volume is what your Supporters paid you in a calendar month, in Dhaka time, across all services. It is counted when the money reaches us, less refunds paid out that month, and leaves out delivery charges, gift wrap fees and Fee covers. Moving between Volume tiers is how the Rate card works. It is not a fee change.
4. Launch rate. Until 23:59 Dhaka time on 31 December 2027, every Creator pays 3.5% on every service. Whatever else these terms say, we won’t charge more than that before then, though we may charge less. The Rate card applies from 1 January 2028, and this clause is your notice of that change.
5. Founder rate. If we’ve told you in writing that you’re in the Founder cohort, you pay 3.5% on every service until 23:59 Dhaka time on 31 December 2028, with the same promise. Founder status belongs to your account, can’t be transferred, and ends if we terminate your account for breaching this Agreement.
6. Partner agreements. We may offer you a Partner agreement with its own rates for some or all services, for a stated period and up to a monthly Volume cap. It applies only once you accept it. While it applies, its rates replace the Rate card. Once you pass its cap, the next applicable rate applies for the rest of that month.
7. Changes. Changes to the Rate card or the Delivery processing charge take effect only on the 1st of a month. We’ll give at least 30 days’ notice, by email and in the app, before any change that raises what you pay, such as a higher rate, moving a service into a dearer Rate family, raising a Volume tier threshold, or raising the Delivery processing charge. Reductions may take effect without notice.
8. Fees owed (cash on delivery). On a cash-on-delivery order, the fee comes out of your wallet when you confirm you’ve received the cash. If your wallet can’t cover it, the shortfall becomes Fees owed. Every later credit to your wallet pays Fees owed first, and you can also pay them directly in the app. Cash on delivery pauses for your shop until things are settled if Fees owed reach ৳500, or if a cash-on-delivery order stays unconfirmed for 30 days. The rest of your shop keeps selling.
9. Refunds. If a payment is refunded in full or in part, the Platform fee and any Delivery processing charge on it are reversed in the same proportion, and the last refund on a payment reverses whatever remains. This applies to cash-on-delivery orders too.

Content ownership and licence

You retain ownership of all content, services, and digital products you publish. You grant us a limited, non-exclusive licence to host, display, and promote your content to operate the platform. You are solely responsible for the legality, ownership, and non-infringement of your content.

Creator obligations

• Clearly describe your offer’s pricing, delivery terms, and conditions.
• Deliver on the promised quality and timeline.
• KYC information (NID, selfie) must be true and your own — false information is a criminal offence under the Penal Code 1860 (ss. 465–471).
• You are solely responsible for determining, paying, and reporting applicable income tax/VAT on your earnings — see our Tax and Reporting Notice.
• Comply with the Acceptable Use Policy— avoid prohibited content, fraud, or platform abuse.

Payout terms

• KYC required: Valid NID-based KYC verification before your first withdrawal.
• Minimum withdrawal: BDT 500.
• Free withdrawals: we don’t charge for withdrawals.
• Business day: Sunday to Thursday in Dhaka time, except public holidays and bank holidays declared by the Government of Bangladesh or Bangladesh Bank.
• Payout time: we send a withdrawal to bKash, Nagad or Rocket within 24 hours of your request, counting only hours on business days. If you make the request on a day that isn’t a business day, the clock starts at the beginning of the next business day. Bank transfers are sent on the same timeline, but BEFTN usually takes another 2–3 business days to arrive.
• Exceptions: the payout time doesn’t apply before your KYC is complete, while a payout is held (see below), or while bKash, Nagad, Rocket or the banking system is down. If we miss it, we’ll tell you why.
• Payout holds: We reserve the right to delay or suspend payouts in cases of suspected fraud, Agreement violations, active chargeback disputes, or payment gateway restrictions.

Suspension and termination

We may suspend or terminate a creator account without prior notice in the following cases:

• Violation of this Agreement or the Acceptable Use Policy.
• Fraudulent or money-laundering-related activity.
• Repeated chargebacks, reports, or platform abuse.
• False or fraudulent KYC information.
• Legal obligation (court order or government directive).

The reason and date of suspension are retained in platform records. Contact us to discuss reactivation.

Agreement acceptance and versioning

When you accept this Agreement on the creator dashboard, the platform records the timestamp and version number of your acceptance — this serves as evidence of the agreement between you and the platform.

Indemnification

You agree to indemnify the platform against any claims, damages, or legal action arising from your offers, content, violation of this Agreement, or infringement of any third-party rights.

Dispute resolution and governing law

In the event of a dispute, contact us first at support@hobenakicoffee.com. If unresolved, arbitration under the Arbitration Act 2001 of Bangladesh or the jurisdiction of the competent courts of Bangladesh applies — see details in our Terms. This Agreement is governed by the applicable laws of Bangladesh.

Changes to this Agreement

For significant changes, we will provide at least 30 days’ notice via email or platform notification. Some changes may require re-acceptance.
